These Terms of Service (“Terms”) govern your use of the RoughCut platform operated by Uncut Gems LLC (“Company,” “we,” “us”). By using RoughCut, you agree to these Terms.
RoughCut is an AI-powered audio transcription and story generation platform for filmmakers. The Service processes audio files you upload to generate transcriptions, speaker identifications, narrative story scripts, music synchronization, translations, and NLE-compatible exports.
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service. One person or entity per account. You may not share account credentials.
Ownership: You retain all intellectual property rights to content you upload (“Your Content”). We claim no ownership of your audio files, video files, or any content generated from your uploads.
License Grant: By uploading content, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing the Service. This license terminates when you delete the content or your account.
Responsibility: You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process Your Content through the Service.
CRITICAL: You are solely responsible for ensuring you have valid, appropriate licenses for all music uploaded to the platform.
RoughCut analyzes music files for tempo, key, structure, and lyrics solely to provide synchronization features. We do not distribute, publicly perform, or reproduce your music. However:
Wedding audio often contains personal, sensitive, and emotional content from real people. By uploading wedding audio:
License responsibility: You are solely responsible for holding valid synchronization and/or master use licenses for any music you upload to the platform. The Service does not grant, verify, or imply any music license. Uploading music to the platform does not transfer any rights to us.
Technical analysis: When you upload music, we perform automated technical analysis to provide our music sync features, including but not limited to: tempo and beats-per-minute detection, musical key identification, energy level measurement, song structure identification (verse, chorus, bridge, etc.), and lyrical content extraction. This analysis is performed exclusively to deliver the Service to you.
No derivative works: The original audio file is not altered, modified, or transformed. Analysis metadata (tempo, key, sections, lyrics) is stored within your private project and is not published, shared, redistributed, sublicensed, or used for any purpose other than providing the Service to you. No portion of your music is used for model training, algorithm development, or any purpose beyond your individual project.
Deletion: You may delete your music files and all associated analysis data at any time. Upon deletion, all copies of the audio file and derived analysis data are permanently removed within 90 days.
Story scripts, speaker identifications, section classifications, B-roll suggestions, and other AI-generated outputs are provided as creative suggestions only. They may contain errors, misidentifications, or inappropriate suggestions. You are responsible for reviewing all AI-generated content before use in final productions. We make no guarantees about the accuracy, completeness, or suitability of AI-generated content.
Free Tier: 2 lifetime projects. Once used, you must subscribe to create additional projects. Empty projects (no transcription) do not count.
Paid Plans: Billed monthly via Stripe. Cancel anytime — access continues through the end of your billing period. No refunds for partial months. Price changes communicated 30 days in advance.
Usage: We reserve the right to implement fair usage limits on processing volume. We will communicate any limits before enforcement.
You may not: (a) reverse-engineer or attempt to extract our AI models, prompts, or algorithms; (b) use the Service to generate harmful, illegal, or deceptive content; (c) resell access to the Service without a Business plan; (d) upload malicious files; (e) attempt to circumvent usage limits or free tier restrictions; (f) use the Service in any way that violates applicable law.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNCUT GEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, BUSINESS, OR PROFITS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Specifically, we are not liable for: (a) errors in AI-generated transcriptions or story scripts; (b) copyright claims arising from music you uploaded without proper licensing; (c) privacy claims from individuals whose voices appear in your uploaded audio; (d) data loss due to service interruptions; (e) any losses resulting from unauthorized access to your account due to your failure to secure credentials.
You agree to indemnify, defend, and hold harmless Uncut Gems LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights including copyright, privacy, or publicity rights.
We respect intellectual property rights. If you believe content on our platform infringes your copyright, send a DMCA notice to: dmca@roughcut.com with: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief; (e) a statement under penalty of perjury; (f) your physical or electronic signature.
We may terminate or suspend your account for violation of these Terms, extended inactivity (12+ months), or at our discretion with 30 days notice. Upon termination, your right to use the Service ceases. You may export your data before termination.
These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Florida. You waive any right to a jury trial.
We may update these Terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
